1. Who can use Propera
- You must be at least 18 years old and legally able to enter a binding contract under the laws applicable to you.
- You must provide accurate, current, and complete information when you sign up and keep it updated.
- You are responsible for all activity that happens under your account and for keeping your login credentials secure.
- You must not use the Service if you are located in, or are a resident of, any country subject to UK or EU comprehensive sanctions.
2. Accounts & verification
We may verify your identity, place of residence, or — in the case of developers — your business credentials and project documents. We may suspend or close accounts that fail verification, provide false information, or otherwise breach these Terms. KYC information is handled in line with our Privacy Policy and applicable UK anti-money-laundering rules.
3. The role of Propera
Propera is a marketplace and communication platform. We facilitate connections between investors and developers and provide tools for listing, discovery, communication, and tracking. We are not:
- A party to any transaction or contract between an investor and a developer;
- A financial adviser, broker-dealer, fund manager, or regulated investment firm (and we are not authorised by the FCA);
- A guarantor of a developer's performance, a project's completion, the legal status of a property, or a property's value, returns, or rental yield;
- An escrow agent (unless explicitly stated for a specific service).
4. Developer obligations
If you list developments on Propera you agree to:
- Provide accurate, current, and complete information about the developer, company, project, units, payment plans, and timelines.
- Comply with all laws applicable to property development and sales in the relevant jurisdiction, including UK Money Laundering Regulations 2017 (as amended) where applicable.
- Honour any commitments you make to investors through the platform.
- Respond to investor enquiries within a reasonable time.
- Not make misleading or false statements about returns, completion timelines, or legal status.
5. Investor obligations
If you use Propera as an investor you agree to:
- Use the Service only for genuine investment enquiry and engagement.
- Conduct your own due diligence before making any investment commitment.
- Seek independent legal, financial, and tax advice as appropriate.
- Honour commitments you make to developers through the platform (e.g. payment schedules you agree to).
- Not invest funds that are not lawfully yours and to comply with the laws of your home country regarding overseas property investment.
6. Prohibited conduct
You agree not to:
- Use the Service for any unlawful purpose, including money laundering, fraud, sanctions evasion, or tax evasion.
- Misrepresent your identity, location, or business details.
- Spam, harass, threaten, or abuse other users.
- Scrape, copy, or resell content from the Service without permission.
- Attempt to bypass our verification, security, or rate-limiting systems.
- Upload malicious code or content that infringes others' rights.
- Reverse-engineer, decompile, or attempt to derive source code from the Service.
7. Fees
Use of the Propera platform is currently free for investors. Developers may be charged listing or referral fees as agreed separately in a written commercial agreement. We will give clear notice before introducing or changing any fees that apply to you.
8. Intellectual property
All content on the Service (excluding user-submitted content) — including the Propera name, logo, branding, design, code, and copy — is owned by Propera or its licensors and is protected by UK and international intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose.
You retain ownership of content you submit (e.g. listing copy, photos, documents) but grant us a worldwide, royalty-free, non-exclusive licence to use, display, host, and distribute it for the purpose of operating and promoting the Service.
9. Third-party services and content
The Service may link to or rely on third-party services (e.g. maps, image hosts, payment providers, analytics). We are not responsible for the content, terms, or privacy practices of third-party services. Your use of those services is governed by their own terms.
10. Consumer rights (UK / EU)
Nothing in these Terms affects the statutory rights you have as a consumer under the laws of England and Wales (e.g. the Consumer Rights Act 2015) or under applicable EU/EEA consumer protection law that you cannot waive by contract.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, satisfactory quality, and non-infringement. We do not guarantee:
- Continuous, uninterrupted, error-free, or secure access to the Service;
- The accuracy of listings, developer claims, or third-party information;
- Any specific investment return, property value, project completion date, or rental yield.
Nothing in this section excludes or limits liability that cannot be excluded under English law (including liability for death or personal injury caused by negligence, or for fraud).
12. Limitation of liability
Subject to Section 11, to the maximum extent permitted by law Propera and its affiliates will not be liable for:
- Indirect, incidental, consequential, special, or punitive damages;
- Loss of profits, revenue, business, opportunity, goodwill, or data;
- Losses arising from a developer's acts or omissions, project delays, market movements, or currency fluctuations;
- Losses you could have mitigated by acting reasonably.
Our total aggregate liability to you for any claim is limited to the greater of (a) the fees you have paid to Propera in the 12 months before the claim, or (b) US $100.
13. Indemnity
You agree to indemnify and hold Propera harmless from any claims, losses, costs, or damages (including reasonable legal fees) arising from your use of the Service, your content, your transactions with other users, or your breach of these Terms.
14. Termination
You may close your account at any time by contacting us at . We may suspend or terminate your access to the Service if you breach these Terms, if we are required to by law, or if we discontinue the Service. Sections that by their nature should survive termination (e.g. IP, disclaimers, liability, governing law) will do so.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated through the Service or by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
16. Governing law & disputes
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. Subject to your mandatory consumer rights in your country of residence, the courts of England and Wales have exclusive jurisdiction.
